Terms of Service

These terms govern your use of sync-proof.com and, once it launches, the Syncproof application (together, the "service"), provided by Skeg Software, a sole proprietorship operated by Justin Breshears. By using this website, or by installing or using the Syncproof app once available, you agree to these terms.
As with our Privacy Policy, this document covers two things at two different stages: the website, which is live now, and the app, which is still in development. The section below titled "When the Syncproof app launches" describes the terms that will govern the app once it's available to install. We're publishing them now so you can review them before that happens.
1. This website, today
sync-proof.com is an informational website describing Syncproof, a multichannel inventory sync application for Shopify and Amazon sellers that is currently in development. Use of the site is free, requires no account, and is offered "as is." Don't misuse it: no scraping, no attempting to interfere with or gain unauthorized access to it, no unlawful use.
2. When the Syncproof app launches
The service
Syncproof will let a merchant keep inventory, orders, and listings synchronized between their Shopify store and their Amazon Seller Central account, and purchase and track shipping labels for their orders. It will notify the merchant when something needs their attention: a channel disconnects, a sync fails, an order edit needs review, rather than failing silently.
Your responsibilities
- Connect only stores and seller accounts you're authorized to manage.
- Use the app lawfully and in compliance with Shopify's Terms of Service, Amazon's Selling Partner API terms, and applicable consumer-protection, tax, and privacy laws.
- Act as the data controller for your customers' personal data, and have the legal basis needed for us to process it on your behalf as described in our Privacy Policy.
- Keep your Shopify billing and Amazon seller account in good standing.
Fees
The website is free. Pricing for the Syncproof app has not been finalized. When the app launches, it will be billed through Shopify's managed app billing, and the plan and price will be shown in-app before you're ever charged. Nothing bills without your confirmation. Any change in pricing will be on prospective notice; continued use after a change means you accept it.
During an early pilot period, some merchants' shipping-label postage may be covered by us rather than billed per-label, subject to a usage limit; this will be disclosed in-app for any merchant it applies to.
Availability & "as is"
We work to keep the app reliable and syncing accurately, but it's provided "as is" without warranties of any kind. We don't guarantee that any specific sync, listing update, or label purchase will succeed: a write can fail for reasons outside our control (a platform outage, a revoked authorization, a rate limit). Where we can't complete an action, we tell you rather than silently doing nothing.
Limitation of liability
To the maximum extent permitted by law, Skeg Software is not liable for any indirect, incidental, or consequential damages, including lost sales, lost inventory accuracy, or overselling arising from platform outages, third-party API changes, or merchant misconfiguration. Our total liability for any claim relating to the app is limited to the fees you paid us for the app in the twelve months before the claim.
Data protection
Our handling of personal data is described in our Privacy Policy, which forms part of these terms. In that relationship, you are the data controller and Skeg Software is your data processor, acting on your instructions and using the sub-processors listed there.
Termination
You may stop using the app at any time by uninstalling it from your Shopify admin; doing so ends these terms for the app and triggers deletion of your data as described in the Privacy Policy. We may suspend or terminate access for violation of these terms or misuse of the service.
3. Changes to these terms
We may update these terms; when we do, we'll revise the date above. Material changes will be communicated where appropriate, including in-app once the app is live.
4. Governing law
These terms are governed by the laws of the State of Texas, United States, without regard to its conflict-of-laws rules.
